Official Rules

Please read these Official Rules before entering the Birdy Grey Name of Honor Contest ("Contest"). You may not submit an entry to or participate in the Contest and are not eligible to receive the prize described in these Official Rules unless you agree to these Official Rules. These Rules form a binding legal agreement between you and Blue Jay Beach, Inc. (“Birdy Grey” or “Sponsor”) with respect to the Contest.

• BIRDY GREY IS RESPONSIBLE FOR THE ADMINISTRATION OF THE NAME OF HONOR CONTEST (THE “CONTEST”), THE SELECTION OF ANY WINNER, AND THE AWARD OF ANY PRIZE. NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS CONTEST. VOID WHERE PROHIBITED.
• Dates of Contest. Contest begins at 10am Pacific Time (“PT”) on October 1, 2025 and ends at 11:59pm PT on October 15, 2025 (the “Contest Period”).  Entries submitted before or after the Contest Period will not be eligible. Sponsor’s computer is the official time-keeping device for the Contest
• Eligibility. Open to individuals who are legal residents of the 50 United States or the District of Columbia who are the older of 18 years of age or the legal age of majority in their state of residence as of the date of entry (the “Entrant”). Officers, directors, managers, and employees of Birdy Grey, and each of its respective parent, subsidiaries, affiliates, and related companies as well as immediate family members and/or those living in the same household of each such person, and any others engaged in the development, production, execution, or distribution of this Contest, are not eligible to participate as an Entrant or Nominee. Eligibility may be verified by Sponsor at any time. The Contest is subject to all applicable federal, state, and local laws and regulations, including but not limited to laws related to eligibility to receive prizes.
• Sponsor. The Sponsor of the Contest is Blue Jay Beach, Inc., 210 E. Olympic Blvd., #300B, Los Angeles, California 90015.

• How to Enter.  To participate and enter this Contest, individuals will need a computing device (e.g., laptop, mobile phone or tablet) that can access the Internet. During the Contest Period, an Entrant may enter the Contest by submitting the first and last name of a natural person personally known to the Entrant (e.g., a friend or family member) whom the Entrant has obtained permission from prior to entry (the “Nominee”), a factually true story or explanation behind the nomination (if applicable) and any other information required by the official entry form (the “Entry”). The Entrant is responsible for obtaining, prior to sending the Entry, any and all releases and consents necessary to permit the transmission of the Nominee’s information to Sponsor as potential Nominee and Sponsor’s use of such information in connection with the Contest. The Entry cannot contain any content, element, or material that violates a third party's publicity, privacy or intellectual property rights. An Entry may, in Sponsor’s sole and absolute discretion, be rejected if it fails to follow the technical, creative, and legal requirements disclosed in the advertising for the Contest and in these Official Rules.

  One (1) Entry per person (whether Entrant or Nominee) per Contest. You may not use multiple email accounts to enter a Contest, and an entrant who submits entries into a Contest through multiple accounts will be disqualified. Entries generated by script, macro, or other automated means are void. Proof of sending (such as an automated computer receipt confirming entry or a screenshot of the entry) does not constitute proof of actual receipt of an entry. To preserve the standards of a Contest, Birdy Grey may occasionally ask for additional information which will be used for fraud prevention.

• Nominee Eligibility. The Nominee must (a) be a legal resident of the 50 United States or the District of Columbia who is the older of 18 years of age or the legal age of majority in their state of residence as of the date of entry, (b) reasonably expect, in good faith, to be a bride, bridesmaid, groom or groomsman (or comparable member of a wedding party) within the twenty-four month period following the end of the Contest Period, and (c) have provided Entrant their written authorization for Entrant to nominate them through the Contest using and sharing Nominee’s personal information and personal story or description. The Entrant is entering the Nominee in the contest on the Nominee’s behalf. Any potential winner of the prize will be the Nominee. As a condition of Nominee being confirmed as a winner, the Nominee must execute and return an Affidavit of Eligibility, Liability Release, and Publicity Release within the timeframe specified by Sponsor. Failure to do so may result in disqualification and selection of an alternate winner.

• Prize. The winning Entry shall receive (a) one $1,000 Birdy Grey e-gift card (the “Gift Card”) and (b) the right to have the winning Nominee’s name adapted into the labeling or other designation of a production bridal gown or bridesmaid’s dress with a scheduled commercial release date on the Birdy Grey web site before the June 30, 2027 and continuing thereafter as a Birdy Grey product available for sale for a period of at least six (6) months until discontinued (the “Name of Honor Prize”). The approximate retail value of the prize package is $1,150 USD.

  No substitution or transfer of prizes permitted, except at the sole discretion of Sponsor. If all or any portion of a prize is unavailable, Sponsor reserves the right to substitute the prize or portion of the prize with a prize of equal or greater value. The prize package is awarded to the Nominee.

  The Gift Card will be delivered to the winner within two weeks of Sponsor receiving the winner’s signed Affidavit of Eligibility and Liability/Publicity Release. The Gift Card prize is subject to all terms, conditions and restrictions stated on the Gift Card and any terms imposed by the issuer. The Name of Honor Prize consists solely of the honor of having a product named after the Nominee (and any physical product Sponsor elects to provide) and no other rights, benefits, royalties, or payments are conferred (such as but not limited to rights to royalties or a share of profits related to sales of the product).

• Selection of Winning Entry. Odds of winning depend on the number of eligible entries received.  Selection will be made by a panel of judges designated by Sponsor, based on the following criteria: originality and creativity of the story or description that accompanies the nomination, alignment with Sponsor’s brand values, and adherence to the requirements of these Official Rules. Sponsor reserves the right to select no winning Entry if, in its sole discretion, no suitable Entries are received. The Entrant who submitted the winning Entry may also receive recognition (as described below), but the Contest prize is awarded to the Nominee. In the event of a tie, the tied Entries will be re-judged using the criteria above until the tie is broken.

  The first selected Entrant and Nominee will be notified of their winning Entry by email or other reasonable means within 60 days of the end of the Contest Period. Sponsor is not responsible for any change of email address, mailing address, and/or telephone number of Entrants or Nominees. The potential winner will be notified via email. Time is of the essence in awarding the prize. If a potential winning Nominee does not (a) respond within forty-eight (48) hours of the first notification attempt and (b) execute and return an Affidavit of Eligibility and Liability/Publicity Release within three (3) business days of receipt of notification of winning (unless extended by Birdy Grey in its sole discretion), or if the notification is returned as unclaimed or undeliverable to such potential winner, such potential winner may forfeit their prize and an alternate winner may be selected. If any potential winner is found to be ineligible, or if they have not complied with these Official Rules, or if they decline to execute and timely return an Affidavit of Eligibility and Liability/Publicity Release or declines the prize for any reason prior to award, such potential winner will be disqualified and an alternate winner may be selected. The prize winner is responsible for all applicable federal, state, local and income taxes associated with winning the prize. Prizes are not transferable and no substitutions are permitted.

• Grant of Rights and Guidelines. All copy, photos, and images submitted as part of an Entry and any other content or information other than personal information (collectively and severally called “Materials”) that an Entrant or Nominee submits to Birdy Grey shall become the sole and exclusive property of, and is hereby assigned to, Birdy Grey. Accordingly, Birdy Grey may use, reproduce, edit, display, transmit, prepare derivative works of, modify, publish, and otherwise make use of Materials in any and all media, whether now known or hereinafter created—throughout the world and for any purpose—without compensation to the Entrant or Nominee of any kind. If an Entrant or Nominee is deemed to have any rights, including without limitation “artist’s rights” or “moral rights,” in the Materials cannot be assigned, in consideration for participating in the Contest and as a condition for being eligible for the prize, Entrant and Nominee (as applicable) hereby grant to Birdy Grey a worldwide, fully paid and royalty-free, irrevocable, perpetual license, with rights to sublicense through multiple tiers of sublicensees, to use, reproduce, distribute, create derivative works of, publicly perform and publicly display the Materials, including, without limitation, except where prohibited by law, the names and likenesses of any persons or locations embodied therein, in any medium or format, whether now known or later developed, in any merchandising, advertising, marketing, promotion or for any other commercial or non-commercial purpose, without having to give any compensation or attribution to Entrant, Nominee or any third party, except for the awarding of the prize to the winner. In the event that Entrant and Nominee has any rights in the Materials that cannot be assigned or licensed, Entrant and Nominee (as applicable) unconditionally and irrevocably waives the enforcement of such rights, and all claims and causes of action of any kind against Birdy Grey.

  By participating in the Contest each of Entrant and Nominee represents and warrants that (a) all the Materials are true, accurate, and complete, (b) except for Materials that are in the public domain, each Entry, in its entirety, is be a single work of original material created by the Entrant, or for which Entrant has all rights required to comply with these Official Rules, and is suitable for presentation in a public forum, (c) the Materials do not infringe on any copyright, trademark, property rights, rights of privacy or publicity of any person, or any other right of any third party, (d) that the Entrant or Nominee (as applicable) has the full and unrestricted right to transfer the Materials to Birdy Grey free and clear of any claims or encumbrances, and (e) Materials have not been submitted previously in any contest of any kind.

  In submitting Materials do not copy any images, graphics, or trademarks that belong to any third parties and/or incorporate the name, likeness or persona of any party other than the Entrant and the Nominee unless all rights necessary to permit use in connection with the Contest have been obtained. Entries that contain brand names, trademarks or company logos (other than those of Birdy Grey) are subject to disqualification.

  Submission of Materials are not confidential.

• Taxes. The winner will be responsible for paying all costs and expenses related to a prize that are not specifically mentioned, including, but not limited to, income taxes, and any other expenses that might reasonably be incurred by the winner in receiving or using the prize.

  The winner may be required to provide Sponsor with a valid taxpayer identification number or Social Security number on IRS Form W-9 before the prize will be awarded. If the prize value is $600 or more, Sponsor will issue an IRS Form 1099-MISC for the actual retail value of the prize awarded and will file the form with the Internal Revenue Service for the tax year in which the prize is awarded. Sponsor will report the prize value as income to the winner, who is solely responsible for paying all applicable taxes in connection with the prize. Failure to submit a completed Form W-9 within the time specified by Sponsor may result in forfeiture of the prize.

• Additional Terms. Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Contest due to any of the following reasons: act of God; unavoidable accident; epidemic; fire; blackout; act of public enemy; war, riot or civil commotion; enactment, rule, order or act of government or governmental instrumentality or tribunal; strike, lockout or other labor dispute; inclement weather; failure of technical facilities; failure of essential production, or technical personnel to appear or be available; or other cause beyond its control. In such case, Sponsor may select the recipients from all eligible Entries received prior to and/or after (if appropriate) the action taken by Birdy Grey. Birdy Grey not responsible for: (a) lost, misdirected, late, incomplete, or unintelligible entries or for inaccurate Entry information, whether caused by an Entrant or Nominee or by any of the equipment or programming associated with or utilized in a Contest, or by any technical or human error that may occur in the processing of entries; (b) any printing or typographical errors in any materials associated with a Contest; (c) any error in the operation or transmission, theft, destruction, unauthorized access to, or alteration of, entries, or for technical, network, telephone, computer, hardware or software, malfunctions of any kind, or inaccurate transmission of, or failure to receive any entry information on account of technical problems or traffic congestion on the Internet or at any website; or (d) injury or damage to your or any other computer or device resulting from downloading any materials in connection with a Contest. Sponsor may, in its sole discretion, disqualify any individual found to be: (x) tampering with the entry process or the operation of a Contest or Birdy Grey website; (y) acting in violation of these rules; or (z) acting in an unsportsmanlike or disruptive manner or with intent to annoy, abuse, threaten or harass any other person. If an Entry is incomplete or if there is use robotic, automatic, programmed or similar entry methods, the Entry may be disqualified.

  The authorized subscriber of the e-mail account used to enter a Contest at the actual time of entry will be deemed to be the Entrant and must comply with these rules in the event of a dispute as to Entries submitted by multiple users having the same e-mail account. The authorized account subscriber is the natural person who is assigned an e-mail address by an Internet access provider, on-line service provider, or other organization responsible for assigning e-mail addresses for the domains associated with the submitted e-mail addresses.

  Sponsor may conduct a background check to confirm any potential winner’s eligibility and compliance with these Official Rules. Nominee agrees to cooperate reasonably with any such background check. If a background check reveals that a potential winner has engaged in conduct that could damage the reputation or business of the Sponsor, as determined by Sponsor in its discretion, the potential winner may be disqualified and the prize may be awarded to an alternate winner.

• Liability. Except to the extent prohibited by applicable law, by participating in the Contest, Entrant and Nominee agree to release and hold harmless Birdy Grey and its respective parents, subsidiaries, affiliates, agents, successors, and assigns, and the officers, directors and employees (the “Released Parties”) from and against any claims, costs (including attorneys’ fees), fines, injuries (up to and including bodily injury and death), liability, losses and damages of any kind to persons, including death, or property resulting, in whole or in part, directly or indirectly, from (a) Entrant’s or Nominee’s participation in the Contest or any Contest-related activity; (b) the acceptance, possession, use or misuse of any prize; (c) the Released Parties’ violation of rights of publicity or privacy, claims of defamation or portrayal in a false light or based on any claim of infringement of intellectual property; and (d) any typographical, human or other error in the printing, offering, selection, operation or announcement of any Contest activity and/or prize.

  Except where prohibited by applicable law, in any cause of action the Released Parties’ liability will be limited to the cost of entering and participating in the Contest by an Entrant or Nominee and in no event shall the Released Parties be liable for attorney’s fees. Any prize will be awarded "AS IS" and WITHOUT WARRANTY OF ANY KIND, express or implied (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose). A prize may not be transferred, assigned, or redeemed for cash. Some jurisdictions may not permit certain liability limitations or waivers. If any court determines the law of such a jurisdiction applies, the liability of the Released Parties shall be limited to the greatest extent permitted by law.

  The value(s) of the prize(s) set forth above represent Sponsor’s good faith determination of the approximate retail value(s) thereof; the actual fair market value(s) as ultimately determined by Sponsor are final and binding and cannot be challenged or appealed. In the event the stated approximate retail value(s) of a prize is more than the actual fair market value of that prize, the difference will not be awarded in cash or otherwise. No substitution or compensation will be given for any portion of the prize that is not used.

  Entrant and Nominee agree that Sponsor's decisions related to the Contest and all distribution of prize(s) are final and binding. In the event there are not enough eligible Entries, no prize will be awarded. Each of Entrant and Nominee agrees that, by participating in the Contest, Sponsor may use the winning Entrant and Nominee’s name in any manner and in any medium for its promotional purposes without additional compensation, including posting in a winner's list, except where prohibited by law, and Sponsor may be required to disclose the winner's address to state regulatory authorities.

• Conduct and Decisions. By participating in the Contest, Entrant and Nominee agree to be bound by the decisions of Birdy Grey. Participants who violate any rule, gain unfair advantage or use any fraudulent means in participating in the Contest will be disqualified. Birdy Grey will interpret these rules and resolve any disputes, conflicting claims or ambiguities concerning the rules or the Contest and Birdy Grey’s decisions concerning such disputes shall be final.

  Any and all disputes, claims and causes of action arising out of or connected with this Contest or any prizes awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Courts for Los Angeles County, California. Any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Contest, but in no event attorneys' fees. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Birdy Grey in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules.

• Publicity. Except where prohibited by law, Entrant and Nominee hereby grant to Sponsor and its successors and assigns, and to any person or entity acting on its behalf, the irrevocable right and non-exclusive license to store, reproduce, distribute, broadcast and otherwise use each of Entrant’s and Nominee’s names, city and state of residence, likenesses, photographs, video, and any comments or feedback related to the Contest experience, including any electronic content submitted to Birdy Grey or that Birdy Grey collects from Entrant or Nominee in connection with the Contest, whether written or oral, for promotional purposes in any media now known or hereafter devised, worldwide, in perpetuity for Sponsor’s advertising and promotional purposes without further consideration or additional consents from Entrant, Nominee or any third party and without prior notice, approval or inspection, and to execute specific consent to such use if asked to do so.

  By submitting an Entry, on behalf of the Nominee, Entrant hereby grants permission for the name of the Nominee to be used for commercial purposes in connection with the prize and to be posted online by Sponsor on its website and social media networks and otherwise used for commercial or non-commercial purposes.

• Affidavit of Eligibility and Release. Except where prohibited by law the winning Nominee must execute and return an Affidavit of Eligibility and Liability/Publicity Release within three (3) days of receipt of notification of winning the prize or the prize will be forfeited. If the Affidavit of Eligibility and Liability/Publicity Release is not timely returned or if any prize notification is returned as undeliverable, the applicable prize will be forfeited and awarded to an alternate winner.
• Privacy Notice.  Entrants and Nominees agree and acknowledge that personal data submitted with an entry, including name, mailing address, phone number, and email address may be collected, processed, stored and otherwise used by Birdy Grey and its affiliates for the purposes of conducting and administering the Contest and delivering or effectuating the prize and for any purposes set forth in Birdy Grey’s Privacy Policy and each of Entrant and Nominee agrees to such Privacy Policy (available at https://www.birdygrey.com/pages/privacy-policy) and acknowledge any financial incentive offered (if any). By entering the Contest, Entrant and Nominee agree that Sponsor may collect and use the personal information submitted for marketing communications in accordance with the Privacy Policy. Opt out of any marketing communication (without affecting eligibility to participate in the Contest) by visiting the unsubscribe link on any Birdy Grey email.
• Winner List. To obtain a copy of the winner’s name or a copy of these Official Rules, mail your request along with a stamped, self-addressed envelope to Blue Jay Beach, Inc., 1055 West 7th Street, 33rd Floor, Los Angeles, California 90017, United States.
• Miscellaneous. The invalidity or unenforceability of any provision of these Official Rules or Affidavit of Eligibility and Liability/Publicity Release will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules or the Affidavit of Eligibility and Liability/Publicity Release is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Contest-related materials, privacy policy or terms of use on any website and/or the terms and conditions of the Official Rules, the Official Rules shall prevail, govern, and control.
